1. Acceptance of Terms

Pricing quoted during a proposal is a baseline estimate. Final pricing is confirmed in a written project agreement. Any additional scope requested after project commencement will be subject to change-order pricing.

3. Client Responsibilities

• Provide accurate business information, brand assets, and access credentials required to deliver the service.
• Review and approve deliverables within agreed timelines. Delays in client approval may extend project delivery dates.
• Ensure that any content, images, or materials you provide are owned or lawfully licensed by you.
• Designate a primary point of contact who has authority to make decisions and approvals.

4. Payments & Fees

• Payment Schedule: A 50% advance payment is typically required before project commencement. The balance is due upon completion and handover of deliverables unless otherwise agreed in writing.
• Accepted Methods: Bank transfer, UPI, Razorpay, or other methods agreed upon in writing.
• Late Payment: Invoices unpaid beyond 30 days from the due date may incur a late fee of 2% per month on the outstanding amount.
• Taxes: All prices are exclusive of applicable GST or other taxes unless explicitly stated.
• Currency: All prices are quoted in Indian Rupees (INR) unless otherwise specified.

5. Refund Policy

• Advance Payments: Advance payments are non-refundable once work has commenced.
• Cancellation Before Commencement: If a project is cancelled before any work begins, the advance payment may be refunded minus an administrative fee of ₹2,000.
• Dissatisfaction: We offer up to two rounds of revisions within the agreed project scope. If you are dissatisfied with the final deliverable, please contact us. Refunds are evaluated on a case-by-case basis and are not guaranteed.
• SEO / Monthly Retainer: Monthly SEO retainer fees are non-refundable for any completed month of service.

6. Intellectual Property

Upon receipt of full and final payment, all custom deliverables created specifically for you (logo, branding, source code, website design) become your intellectual property. Until full payment is received, all work remains the property of SoloCom Digi.

We reserve the right to display completed work in our portfolio and marketing materials unless you request confidentiality in writing prior to project commencement.

7. Confidentiality

Both parties agree to keep the other's confidential business information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives the termination of any agreement between us.

8. Limitation of Liability

To the maximum extent permitted by law, SoloCom Digi shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, including but not limited to loss of revenue, rankings, data, or business opportunities. Our total liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.

9. Acceptable Use of This Website

You agree not to:

• Use automated tools to scrape, index, or harvest data from this website without permission.
• Submit false, misleading, or fraudulent information through any form.
• Attempt to access restricted areas of this website, including the admin panel.
• Use this website to transmit malware, spam, or harmful content.

10. Project Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination, you will be invoiced for all work completed to the date of termination at the agreed rate. Advance payments are non-refundable once work has commenced.

11. Disclaimer of Warranties

SEO and digital marketing services involve elements outside our control, including search engine algorithm changes. We do not guarantee specific ranking positions, traffic volumes, or conversion rates. Results discussed during proposal are projections based on past client performance and industry benchmarks, not guarantees.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nagpur, Maharashtra, India. The parties agree to attempt good-faith mediation before initiating formal legal proceedings.
